Important Notice: On August 11, 2026, FinCEN issued a final rule that changes the Beneficial Ownership Information (BOI) reporting requirements.
Under the new rule:
- U.S. companies are exempt from BOI reporting requirements and therefore, are no longer required to file BOI reports.
- Only certain foreign companies registered to do business in the U.S. must report BOI.
- These foreign companies do not need to report BOI for U.S. person beneficial owners or U.S. person company applicants.
- U.S. persons with a FinCEN ID are not required to update or correct the information they previously submitted to FinCEN.
Some information on this website may be outdated. Please disregard any guidance stating that:
- U.S. companies or their beneficial owners must report BOI.
- BOI must be reported for U.S. persons.
- U.S. persons must update or correct FinCEN ID information.
- BOI reports were due before April 25, 2025.
